Terms of service

1. Acceptance

By creating an account, purchasing a report, or otherwise using DealVital.com (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Amazica Holdings LLC, a Delaware limited liability company ("DealVital," "we," "our").

2. What the Service is — and what it is not

The Service is an information services and document automation platform. It generates illustrative valuation ranges, buyer-research summaries, anonymous profiles, and confidential information memoranda based on information you provide and on publicly available data we maintain.

The Service is not:

• A broker, broker-dealer, or business broker. We do not facilitate transactions, take success fees, hold escrow, or represent any party in a transaction.
• An investment adviser. We do not provide recommendations on whether, when, how, or to whom you should sell a business.
• An M&A advisor. We do not negotiate, structure, or close transactions.
• A certified valuation analyst. Our valuation outputs are illustrative ranges, not formal opinions of value.
• A law firm, accounting firm, or tax adviser. Engage qualified professionals for legal, tax, and accounting matters.

The Service is modeled after consumer-facing document and information platforms such as LegalZoom (legal forms), TurboTax (tax preparation), and Zillow (real estate research) — information and document automation, not regulated advice.

3. Accounts

You are responsible for the accuracy of information you provide and for activity on your account. Keep your credentials private. Notify us of unauthorized use immediately via the contact form.

4. Payment, billing, and subscriptions

One-time reports are billed once at purchase. Subscriptions renew monthly until canceled. You can cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. Refunds are issued only where we fail to deliver the purchased deliverable due to a technical error on our side.

5. License and use

We grant you a non-exclusive, non-transferable license to use the deliverables we generate for your business decision-making and for sharing with prospective buyers, advisors, and counsel. You may not resell our deliverables, white-label them without our written consent, or use the Service to generate documents for third parties without their authorization to provide the underlying business data.

6. Your data and what we do with it

You retain all rights in the business data you provide. You grant us a limited license to use that data to generate your deliverables, operate and improve the Service, and provide support. Full details in our privacy policy.

7. Acceptable use

You will not use the Service to defraud buyers, misrepresent the business you are describing, attempt to reverse-engineer our pipeline, circumvent rate limits, or violate applicable law.

8. Disclaimers and limitations

The Service and all deliverables are provided "as is" and "as available." Valuation outputs are illustrative ranges based on comparable-transaction patterns; they are not formal opinions of value, are not guarantees of price obtainable in a transaction, and should not be relied on for divorce, estate, litigation, or tax-reporting purposes without engaging a qualified, credentialed expert. Buyer matches are informational lists drawn from public records, not introductions or endorsements.

To the maximum extent permitted by law, DealVital and Amazica Holdings LLC disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Our aggregate liability arising from or related to the Service is limited to the amounts you paid us in the twelve months preceding the claim, or $100, whichever is greater.

9. Indemnification

You will defend, indemnify, and hold harmless DealVital, Amazica Holdings LLC, and our officers, members, employees, and contractors from any claim arising out of your business data, your use of deliverables in dealings with buyers or third parties, or your violation of these Terms.

10. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms, abuse the Service, or for any reason on reasonable notice.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Disputes will be resolved exclusively in the state or federal courts located in New Castle County, Delaware.

12. Changes

We may update these Terms. Material changes will be announced on the Service or by email. Continued use after the effective date constitutes acceptance.
